1. Purpose

This Confidentiality Agreement ("Agreement") is entered into on [Date] between [Party A Name] ("Discloser") and [Party B Name] ("Recipient") for the purpose of [describe the business purpose, e.g., "evaluating a potential business partnership", "discussing acquisition terms", "sharing technical data for integration"]. The Parties wish to protect confidential information exchanged during this process.

2. Scope of Confidential Information

Confidential Information includes, without limitation: (a) business information: financial statements, projections, customer lists, pricing strategies, market analyses; (b) technical information: source code, algorithms, designs, prototypes, formulas; (c) operational information: processes, supplier relationships, internal policies, employee data; (d) strategic information: business plans, merger/acquisition plans, expansion strategies. Information need not be marked confidential to be protected if it would reasonably be considered confidential.

3. Permitted Disclosures

The Recipient may disclose Confidential Information to: (a) employees and advisors who need to know for the stated Purpose, provided they are bound by similar confidentiality obligations; (b) legal counsel for the purpose of obtaining legal advice; (c) as required by law, regulation, or court order, provided the Recipient gives prompt notice to the Discloser and cooperates to seek protective measures.

4. Security Measures

The Recipient shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Specific measures shall include: (a) restricted access controls; (b) encrypted storage and transmission; (c) secure disposal of physical documents; (d) maintaining access logs for sensitive materials.

5. Return and Destruction

Upon the Discloser's written request or termination of this Agreement, the Recipient shall: (a) promptly return all tangible materials containing Confidential Information; (b) permanently delete all electronic copies; (c) certify in writing that all Confidential Information has been returned or destroyed. One archival copy may be retained solely for legal compliance purposes.

6. Duration and Survival

This Agreement shall remain in effect for [3] years from the date of execution. Obligations regarding trade secrets shall continue indefinitely, or for as long as the information qualifies as a trade secret under applicable law. The obligations of confidentiality, return/destruction, and remedies shall survive the expiration or termination of this Agreement.
